TERMS AND CONDITIONS FOR USE OF INTELLECTUAL PROPERTY AND INTERNATIONAL COPYRIGHT FOR WORKSHOP MATERIALS

DEFINITIONS

In this agreement, the following definitions shall apply:

“Workshop Materials” refers to any and all materials used in connection with the workshop, including but not limited to, presentations, handouts, worksheets, and other materials.

“Intellectual Property” refers to any and all copyrightable works, patents, trade secrets, trademarks, and other proprietary information.
“Creator(s)/Owners” refer to Michelle McQuaid Pty Ltd domiciled in Melbourne, Australia.

“Purchaser” refer to the entity or natural person who has purchased the Workshop Materials. The Purchaser is also known as the User(s).

OWNERSHIP OF INTELLECTUAL PROPERTY

The Workshop Materials are the exclusive property of the creator(s) and/or owner(s) of the Intellectual Property, as defined above. The creator(s) and/or owner(s) of the Intellectual Property retain all rights, title, and interest in the Workshop Materials, including all copyrights, trademarks, trade secrets, and other proprietary information.

LICENSE TO USE WORKSHOP MATERIALS

The creator(s) and/or owner(s) of the Intellectual Property hereby grant(s) to the user(s) a non-exclusive, non-transferable license to use the Workshop Materials solely for the purposes of participating in the workshop.

TRANSFERABILITY

This agreement is solely between creator(s) and/or owner(s) and the Purchaser. This license agreement is non-transferable unless prior and explicit permission is agreed upon, which must be in writing.

OWN BRANDING

The Purchaser is permitted to co-brand and/or rebrand Workshop Materials but is required to acknowledge the creator(s) and/or owner(s) as the source of the Workshop Materials.

ACCESS & DISTRIBUTION

Purchaser may not have material made available and/or accessible on-line in any public forum, unless prior and explicit permission is agreed upon, which must be in writing, and where granted the Workshop Materials must be protecting access with a username and password. Placing the materials on marketplace, open source, shared content or any third-party websites is strictly forbidden.

RESALE

This agreement specially prohibits the reselling of any of the training materials, in part or whole, and including any and all derivative works.

LIMITATIONS ON USE

The user(s) may not copy, reproduce, distribute, sell, license, modify, or create derivative works based on the Workshop Materials without the prior written consent of the creator(s) and/or owner(s) of the Intellectual Property. The user(s) may not use the Workshop Materials for any commercial purpose, or for any purpose other than participating in the workshop, without the prior written consent of the creator(s) and/or owner(s) of the Intellectual Property.

COPYRIGHT NOTICE

The user(s) shall include the following copyright notice on all copies of the Workshop Materials: “Copyright © 2023 [NAME OF CREATOR(S) AND/OR OWNER(S)]. All rights reserved.”

INFRINGEMENT

The user(s) shall notify the creator(s) and/or owner(s) of the Intellectual Property immediately in the event of any infringement or unauthorized use of the Workshop Materials. The creator(s) and/or owner(s) of the Intellectual Property shall have the right to take legal action against any infringing party.

LIMITATION OF LIABILITY

The creator(s) and/or owner(s) of the Intellectual Property shall not be liable for any damages, including but not limited to direct, indirect, incidental, special, or consequential damages, arising out of or in connection with the use or inability to use the Workshop Materials.

CHOICE OF LAW

This agreement shall be governed by and construed in accordance with the laws of Victoria, AUSTRALIA.

SEVERABILITY

If any provision of this agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This agreement constitutes the entire agreement between the user(s) and the creator(s) and/or owner(s) of the Intellectual Property, and supersedes all prior agreements, understandings, or representations, whether written or oral. No modification or amendment to this agreement shall be binding unless in writing and signed by both parties.

By using the Workshop Materials, the user(s) acknowledge(s) that they have read this agreement, understand its terms, and agree to be bound by its terms and conditions.
